These Terms of Service (“Terms”) govern access to and use of the Tonnexis platform, website tonnexis.com, and related services (the “Services”), provided by Tonnexis Limited (“Tonnexis”, “we”, “us”), licensed in the Masdar City Free Zone, Abu Dhabi, UAE (licence no. MC 14876). By creating an account or using the Services, you and the organisation you represent (“Customer”, “you”) agree to these Terms. If you do not agree, do not use the Services.
1. The Services
Tonnexis is an AI-assisted platform that converts structural steel drawings, schedules, and inquiries into material takeoffs, weight calculations, cost estimates, and exportable quotes. The Services use automated processing and AI models and are provided on a subscription or usage basis as described at sign-up or in an order.
2. Eligibility and accounts
The Services are for business use by users aged 18+. You must provide accurate registration information, keep credentials secure, and are responsible for all activity under your account and your users. You represent that you have authority to bind the Customer to these Terms.
3. Customer content and intellectual property
a. Your content. You retain all rights to the files you upload and to the takeoffs, weights, and quotes generated for you (“Customer Content” and “Outputs”). You grant Tonnexis a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display Customer Content solely to provide and improve the Services to you and as permitted by the Privacy Policy and DPA — including transmitting content to our AI sub-processors for extraction.
b. Our platform. Tonnexis and its licensors own all rights in the platform, software, models, know-how, and brand (including “Tonnexis” and the vision engine). No rights are granted except as expressly stated.
c. No training on your content. We do not use Customer Content to train our own or third parties’ AI models. We may use aggregated, de-identified operational data to improve the Services.
4. Acceptable use
You will not: upload content you lack the rights to; upload unlawful, infringing, or malicious content; attempt to breach security, reverse engineer, scrape, or overload the Services; resell or provide the Services to third parties except your own authorised users; or use the Services to build a competing product. You are responsible for the legality of the content you upload.
5. AI-assisted outputs — estimates only
The Services use artificial intelligence and automated processing. Takeoffs, weights, cost estimates, and quotes are AI-assisted estimates, not certified engineering, quantity-surveying, or professional advice. They may contain errors, omissions, or misclassifications. Tonnexis provides an engineer review workflow so that a qualified member of your team verifies each Output before you rely on it, and:
• You are responsible for reviewing, verifying, and approving all Outputs (including quantities, section types, weights, and prices) before relying on them, quoting a client, or procuring materials. Verification and final engineering sign-off are performed by your own personnel and remain your sole responsibility at all times.
• You must exercise independent professional judgment. Tonnexis is a tool that assists your estimators; it does not replace them, certify their work, or take on their professional responsibility.
• Prices are frozen at job creation and are indicative only; you are responsible for your own commercial pricing and margins.
To the fullest extent permitted by law, Tonnexis is not liable for the accuracy of any Output, or for decisions made or losses incurred in reliance on any Output — whether or not that Output has been reviewed or approved by your personnel. Verification by your engineers does not shift responsibility for the underlying accuracy of an Output to Tonnexis.
6. Fees and payment
Free trial. New accounts receive two (2) free AI-assisted takeoffs, usable once per account (not renewing), to try the platform before subscribing to a paid plan. A paid subscription is required to run further AI-assisted takeoffs once the free takeoffs are used.
Plans. All fees are stated and billed in United States Dollars (USD). Fees are billed monthly or annually in advance according to the plan selected at sign-up or in an order:

Plans are intended for a single organization’s estimating team; unusually large deployments should contact us for a Custom agreement. Drawings processed beyond the plan’s monthly allowance are billed at $18 per drawing. A Starter subscription is limited to one (1) user; additional users require upgrading to Team or a higher plan. We reserve the right to change pricing for future billing periods with at least 30 days’ advance notice; price changes do not affect a billing period already in progress.
Billing. By subscribing, you authorize us to charge your designated payment method on each billing date until you cancel.
Fees are non-refundable except as required by law, and exclusive of applicable taxes (including UAE VAT), which you are responsible for. For customers billed in the UAE, invoices will show the AED equivalent as required for VAT purposes, calculated at the exchange rate in effect on the invoice date. Late or failed payment may result in suspension.
7. Confidentiality
Each party may access the other’s confidential information. Each party will protect the other’s confidential information with reasonable care and use it only to perform under these Terms. We treat Customer Content as your confidential information.
8. Third-party services
The Services rely on third-party sub-processors (see the Privacy Policy). We are not responsible for third-party services outside our control, but we remain responsible for our sub-processors’ processing as set out in the DPA.
9. Data protection
Our handling of personal data is described in the Privacy Policy. Where we process personal data on your behalf, the Data Processing Agreement (DPA) applies and is incorporated into these Terms.
10. Service availability and changes
We aim for high availability but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice for material adverse changes. Any service-level commitments apply only if stated in a separate SLA or order.
11. Warranties and disclaimer
Except as expressly stated, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by law.
12. Limitation of liability
To the fullest extent permitted by law:
• Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, or for losses arising from reliance on unverified Outputs (see §5).
• Tonnexis’s total aggregate liability arising out of or related to the Services and these Terms will not exceed the greater of (a) the fees paid by you to Tonnexis in the 12 months before the event giving rise to the claim, or (b) USD 300.
• These limits do not apply to liability that cannot be excluded under UAE law.
13. Indemnity
You will indemnify Tonnexis against third-party claims arising from your Customer Content, your use of the Services in breach of these Terms, or your violation of law or third-party rights.
14. Term, suspension and termination
These Terms apply while you use the Services. Either party may terminate for material breach not cured within 30 days’ notice. We may suspend access for security, non-payment, or legal reasons. On termination, your right to use the Services ends; you may export your data for 30 days, after which we may delete it per the Privacy Policy and DPA.
15. Changes to these Terms
We may update these Terms; the updated version takes effect on posting (or as stated), and for material changes we will take reasonable steps to notify you. Continued use means acceptance.
16. Governing law and disputes
These Terms are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi. The parties submit to the exclusive jurisdiction of the courts of Abu Dhabi, subject to any dispute-resolution mechanism required by the Masdar City Free Zone.
17. General
Force majeure; no waiver by delay; you may not assign without our consent (we may assign to an affiliate or successor); if a provision is unenforceable the rest remains in effect; these Terms, the Privacy Policy, the DPA, and any order form the entire agreement.
